3. Research Methodology

Nodior primarily uses publicly available information and source-backed research. Revenue estimates, ownership flags, acquisition status notes, and fit rationales are based on available public evidence and professional judgment.

Private-company revenue estimates are estimates, not audited financial statements or representations of actual revenue.

4. No Brokerage or Advisory Relationship

Nodior is not a broker, investment bank, legal advisor, accounting advisor, or registered investment advisor. Nodior does not represent sellers, negotiate transactions, or provide legal or tax advice. Clients are responsible for their own outreach, diligence, negotiations, and transaction decisions.

5. Client Responsibilities

Clients are responsible for providing accurate project criteria, reviewing deliverables before use, validating information before making business decisions, and complying with applicable laws in outreach, diligence, and transaction activity.

6. Deliverables and Ownership

Upon full payment, clients receive the specific deliverables created for their project, subject to any separate written agreement. Nodior retains ownership of its general methodology, templates, processes, research know-how, and non-client-specific knowledge.

7. Confidentiality

Nodior treats client project criteria, acquisition theses, target maps, and deliverables as confidential. Each party may disclose confidential information only as required to perform the engagement, comply with law, or as otherwise agreed in writing.

8. Payment

Fees, payment timing, and refund terms are defined in the applicable proposal, invoice, statement of work, or written agreement. Unless otherwise agreed, fees are based on project scope and complexity.

9. Warranties and Disclaimers

Services and website content are provided on an "as is" and "as available" basis. Nodior aims to provide careful, source-backed research, but does not guarantee that public information is complete, current, or error-free.

10. Limitation of Liability

To the maximum extent permitted by law, Nodior will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost opportunities, or transaction outcomes.
